Terms of Service

Welcome to Nimos. By using our software and services (the “Service”), you agree to these Terms and our Privacy Policy.
1. Accounts
You are responsible for your account credentials and all activity under your account. Notify us promptly of any unauthorized use.
2. Subscriptions & Billing
Nimos offers two tiers: Basic and Pro. Pro includes automation and customization features such as automatic invoice emails to your customers and custom invoice branding with your logo.
Subscriptions renew automatically unless canceled. Taxes may apply. You can cancel anytime; access continues until the end of the current billing period. Prices and plan details are shown on the Pricing page and in-app.
3. Payment Processing, Platform Fees & Taxes
Payment Providers. Payments are currently processed by Stripe and may also be processed by other payment providers we support in the future. By subscribing or accepting payments through the Service, you authorize us and Stripe to charge your payment method for applicable fees and taxes. We do not store full card numbers or CVC codes. Your use of payments is subject to Stripe’s terms and policies.
Platform Fee. If you accept customer payments using Nimos's Stripe integration, including Stripe Connect, Nimos charges a 0.1% platform fee on successful online payments, unless a different fee is communicated in your account settings or in the in-app payment flow. Stripe processing fees apply separately. We may deduct platform and processing fees from settlement amounts prior to payout, or invoice or charge you separately.
Other Fees. You are responsible for any third-party fees, such as network fees, currency conversion, cross-border, and chargeback fees.
Chargebacks, Refunds & Disputes. You are responsible for chargebacks, refunds, and disputes arising from your sales. Stripe or payment networks may debit your account for related amounts and fees. We may offset such amounts from payouts or invoice you.
Reserves & Set-Off. We may establish a reserve, delay or withhold payouts, or set off amounts you owe, including negative balances, chargebacks, fees, penalties, or taxes, against amounts we or Stripe would otherwise pay you.
Risk, Compliance & Payment Restrictions. We or Stripe may suspend, restrict, delay, or disable payment features, payouts, or access to payment services where reasonably necessary for fraud prevention, risk management, sanctions screening, identity verification, legal or regulatory compliance, suspected unauthorized activity, excessive disputes or chargebacks, or violations of these Terms or Stripe's policies.
Taxes. Fees are quoted exclusive of taxes unless stated otherwise. You are responsible for taxes on your sales, such as VAT or GST. We may collect and remit taxes on subscription or platform fees where required.
Changes to Fees. We may change subscription or platform fees by updating your account settings and/or notifying you in-app or by email. Material subscription pricing changes will take effect no sooner than 30 days after notice.
4. Automation and AI-Assisted Features
Nimos may use automation or AI-assisted tools to help with tasks such as categorization, formatting, workflow suggestions, or bookkeeping assistance. These features are provided to help you work faster, but you remain responsible for reviewing outputs and ensuring your records are accurate.
Nimos does not share your business records with third-party AI systems for training purposes without your explicit consent.
5. Data & Privacy
You retain ownership of your financial data. You grant us the rights necessary to operate the Service, such as to host, process, back up, transmit, secure, and support your data.
Nimos does not sell your customer lists, invoices, accounting records, or business information.
Any optional product improvement use is controlled by you in Settings → Privacy. If enabled, we may use general usage patterns and anonymous statistics to improve features and workflows. This does not allow other businesses to see your data and does not mean we sell your customer database or financial records.
As between you and Nimos, you control the customer and business data you submit to the Service, and you are responsible for the accuracy, quality, and legality of that data and the means by which you obtained it.
6. Customer Personal Data & Communications
If you enter, upload, import, store, or use personal data in the Service, including customer names, email addresses, phone numbers, billing details, or similar information (“Customer Personal Data”), you are responsible for that data and your use of it.
You represent and warrant that you have provided any required notices and obtained any rights, consents, and lawful bases required to collect, use, and share Customer Personal Data with Nimos for the purpose of providing the Service.
You are responsible for using Customer Personal Data only for lawful business purposes, protecting it from unauthorized access or misuse, and limiting access to authorized personnel within your organization.
You must not use the Service to send spam, unlawful marketing, harassing messages, or unauthorized communications. You are responsible for complying with applicable privacy, data protection, direct marketing, messaging, and communications laws and regulations in connection with your customers and your use of the Service.
To the extent applicable under law, you act as the controller or business for Customer Personal Data you submit to the Service, and Nimos acts only as a processor or service provider on your behalf in providing the Service.
7. Acceptable Use
You agree not to misuse the Service, violate laws, infringe others’ rights, interfere with the Service, attempt unauthorized access, or use the Service for unlawful or abusive activity.
You are responsible for complying with tax, accounting, invoicing, payment, privacy, and record-keeping obligations applicable to your business.
8. Termination
We may suspend or terminate access for violations of these Terms, legal or regulatory reasons, payment risk, suspected fraud, security concerns, or misuse of the Service. You may delete your account at any time.
9. Disclaimer & Limitation of Liability
The Service is provided “as is.” We do not guarantee the Service will be error-free or uninterrupted, or that data loss will not occur. To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages. You are responsible for maintaining backups of your important records.
10. Beta / Early Access Features
We may offer experimental features. They are provided for testing, may change or be discontinued, and are not guaranteed to be production-ready.
11. Not Financial, Tax, or Legal Advice
Nimos provides tools and automation to assist with bookkeeping, invoicing, and accounting workflows, but does not provide professional financial, tax, accounting, or legal advice. Consult qualified professionals as needed.
12. Changes
We may update these Terms. Material changes will be communicated via email or in-app notification where appropriate.
